SOUTHERN NEW YORK STATE DIVISION
UNITED NATIONS ASSOCIATION OF THE UNITED STATES OF AMERICA
By-Laws
(Revised and adopted Board Meeting of June 14, 2010)
Article I - Name and Affiliation
The name of this organization is The United Nations Association of the United States of America, Southern New York State Division.
This Division is affiliated with the United Nations Association of the United States of America, Incorporated, and the World Federation of United Nations Associations.
Article II - Composition
The Division comprises all chapters, contact groups, and members-at-large in the five boroughs of New York City and in the counties of Columbia, Dutchess, Greene, Nassau, Orange, Putnam, Rockland, Suffolk, Sullivan, Ulster and Westchester.
Article III - Purpose and Function
The Division shall develop and implement plans, activities and programs in support of the purposes of the National Organization as expressed in the National By-Laws, as follows:
“The United Nations Association of the United States of America is dedicated to
educating, inspiring and mobilizing Americans to support the principles and vital work of
the United Nations, strengthening the United Nations system, promoting constructive
United States leadership in that system, and achievement of the goals of the UN Charter.”
“UNA-USA carries out its purpose through a combination of policy analysis, public outreach, education and international programs, including dialogue with other UNAs through the World Federation of United Nations Associations. UNA-USA reaches the public through a nationwide network of chapters, divisions and affiliated organizations. UNA-USA provides special information and education services on U.N. related matters and international affairs for student groups, the media, Congress, and policy-making groups. It also supervises and coordinates the annual observance of U.N. Day in hundreds of communities across the nation under the leadership of a National U.N. Day Chair appointed in consultation with the President of the United States.”
The Division shall implement these purposes in accordance with the Basic Requirements for Divisions promulgated by the National organization, including the following:
“(a) assisting the chapters and contact groups in the division to fulfill their mission;
(b) promoting inter-chapter communication and coordination;
(c) fostering the creation of new chapters and contact groups;
(d) educating to inform the public about the United Nations system and build a constituency for constructive United States participation in the U.N. system in those parts of the state or region where there is no chapter;
“In addition, a division may conduct programs on a division-wide basis. Such programs would only be done with approval from the division board of directors and in a way that complements and enhances, rather than competes with, chapter activities.”
Article IV - Board of Directors
Function: The Board of Directors of the Division is responsible for assuring that Division activities are planned and carried out consistent with the framework of policy and procedures established by the National Board of Directors and by the National Convention.
Composition: The Board of Directors shall be composed of:
a. Officers of the Division;
b. All Presidents of UNA Chapters in the Division area;
c. Such additional UNA members residing in the Division area who are members in good standing and who, in the opinion of the Board, have suitable qualifications for Board membership, and who are elected thereto in accordance with these By-Laws;
d. Past Presidents of the Division who wish to continue to participate and serve on the Division level are automatic members of the Board;
e. Past Presidents of Chapters who wish to continue to serve are to be considered by the Nominating Committee for re-election to the Board.
f. The Chair of the Young Professionals for International Cooperation Group
Term: Terms of Board membership shall be:
a. For Presidents of Chapters - a term co-extensive with each President’s chapter term of office;
b. For elected members - a term of two years commencing with the January following the Annual Meeting at which they are elected, with privilege of re-election . Any director elected to fill a vacancy between Annual Meetings shall serve initially until the end of December following the next Annual Meeting.
Number: The Board shall consist of not fewer than ten and not more than thirty members, including Officers of the Division, Presidents of Chapters, and elected members. In the event that the number of directors falls below ten between Annual Meetings, the Nominating Committee, at the next Board meeting, shall propose individuals for election to fill the vacancies so created.
Meetings: The Board of Directors shall meet at least six times during each calendar year at the call of the President. One of these meetings shall be the Annual Meeting. Notice of the Annual Meeting shall be sent to Board members at least 30 days prior to date of the meeting. At the request of three or more members of the Board, the President shall call a Special Meeting. A simple majority of members of the Board shall constitute a quorum to do business. Any Board meeting may with the approval of the Board be held in conjunction with an open membership meeting for UNA members in the Division area.
Proxy Voting: A Chapter President, with the approval of the Chapter Board, may designate a member of the Chapter to attend a Division Board meeting which the President cannot attend, and such designee shall have the right to vote on matters before the Board in accordance with specific instructions of the Chapter President and Board.
Attendance: The status of any Board member who is absent from any three consecutive meetings, without having designated an authorized proxy or having notified the President in advance of circumstances preventing his or her attendance, shall be reviewed by the Nominating Committee for appropriate action.
Executive Committee: The Executive Committee shall be composed of the elected officers of the Division, and shall administer the affairs of the Division in accordance with the decisions of the Board of Directors. It shall consider questions of program and policy and make appropriate recommendations to the Board. It shall take action on matters which require action prior to the next regularly scheduled Board meeting, and shall submit such actions to the Board at said next meeting for ratification.
Article V - Officers
Positions: The officers of the Division shall be the President, the First Vice-President, the Second Vice-President, the Secretary, the Treasurer, and the Chairperson of the Nominating Committee.
Terms: The term of office for all officers shall be two years, with the privilege of re-election for one additional consecutive term in that office. An officer who has served for two consecutive terms in the same office may be elected to a different office at the conclusion of said two terms. Officers shall take office on the first day of January following their election.
Election: Officers shall be elected at the Annual Meeting of the Board of Directors in odd-numbered years. If at the expiration of the term of any officer a successor has not been elected or is not available to take office, the incumbent officer shall serve until a successor is duly elected and takes office. The Secretary and Treasurer may serve for unlimited additional consecutive terms.
Vacancies: A vacancy in the office of President shall be filled by the First Vice-President (or the Second Vice-President if the First is not available) until a special election can be held where a majority of the Board votes for a candidate to serve until the vacated President's term would be completed. A vacancy in any other office, or in the office of President if no Vice President is available to serve, shall be filled by a majority vote of the Board upon recommendations proposed by the Nominating Committee pursuant to Article VII of these By-Laws.
Duties of Officers: The President shall preside at all meetings of the Board and of the Executive Committee, shall file by the deadline the Division Annual Report with the National Office, shall attend or designate a representative to attend the Annual Meeting of the Council of chapters and Divisions, and shall perform such other duties as usually pertain to this office and which conform to the policies and procedures of UNA-USA. The President, with the approval of the Board, may employ assistance for administrative functions. The President shall visit, or designate a representative to visit, existing chapters upon request or as needed, and shall assist in the formation of new chapters.
The Vice Presidents shall perform the duties of the President in the absence or inability to serve of the President, and each shall perform such other duties as shall be assigned by the President with the approval of the Board.
The Secretary shall keep a record of all meetings of the Board of Directors and of the Executive Committee, and shall perform such other duties as are usual for this office.
The Treasurer shall keep a record of all income to and expenses of the Division, and of outstanding accounts receivable and payable, shall maintain all funds of the Division in an established banking institution, and shall perform such other duties as are usual for this office.
Article VI - Committees of the Board
The President, with the approval of the Board, may appoint chairpersons and members of such committees of the Board, comprising Board members and, when appropriate, other UNA members, as are deemed desirable to carry out the purposes and functions of the Division and of UNA-USA.
Article VII - Nominating Committee and Nominations
After taking office, the President, with the approval of the Board, shall appoint from the membership of the Board, two members who, with the elected Chairperson, will constitute a Nominating Committee to serve during such President’s term of office. Vacancies on the Nominating Committee may be filled by appointment by the President with the approval of the Board. It shall be the duty of the Nominating Committee to prepare and submit to the Board a slate of candidates for the positions of elected directors and officers of the Division to be elected at the Annual Meeting in each odd-numbered year, as well as to recommend officers and directors for election to fill vacancies occurring between biennial elections.
The Nominating Committee shall develop and agree upon a slate of Directors and Officers sufficiently in advance of the Annual meeting in each odd-numbered year so that the list can be, and is, circulated by e-mail to Board Members at least 30 (thirty) days prior to the Annual Meeting. In the case of nominations to fill vacancies, such nominations shall be circulated to all Board members by e-mail or regular mail at least 30 days prior to the Board meeting at which their election will be proposed. Nominations in addition to those presented by the Nominating Committee may be made by petition signed by at least ten members of the Board, filed with the Chairperson of the Nominating Committee and mailed or emailed by the proponents to all Board members at least twenty days prior to the meeting at which such nominations are presented for election.
Article VIII - Annual Budget
A budget for the Division shall be prepared annually for adoption by the Board and, after adoption, filed with the National Office as part of the Division Annual report, along with an annual statement of receipts and expenditures.
Article IX - Ratification or Amendment
Ratification or Amendment of these By-Laws shall be by a two-thirds vote of the Board. Copies of the proposed By-Laws or proposed amendments shall be sent via e-mail to all Board members at least thirty days prior to the Board meeting at which they shall be offered for Board adoption.
Article X - Parliamentary Authority
Article XI – The Young Professionals for International Cooperation Group (“YPIC”)
Per YPIC National rules, the YPIC Program based in New York City (“YPIC SNY”) is affiliated as an integrated part of a local UNA-USA Chapter or Division. The YPIC SNY group has been affiliated with the SNYS Division since 2007. YPIC SNY strives to work in conjunction with and under the umbrella of the SNYS leadership and mentorship and as such:
· YPIC Chair will provide YPIC reports to be presented at the bi-monthly SNYS Division board meetings by the YPIC Chair or in his/her absence the YPIC Vice-Chair;
· YPIC treasurer and/or Chair will submit to the SNYS Division Treasurer and President with YPIC expense reports as stipulated on the Event Financial Procedures found on http://unasnyypic.pbworks.com/Event-Related-Documents
· YPIC Funds are managed and disbursed solely with the authorization of the President and Treasurer of the Division. Disbursements from the YPIC fund will only be made in check form;
· The YPIC Chair, Vice-Chair and/or YPIC treasurer will provide all documentation supporting all expense reports submitted to the Division.
Robert’s Rules of Order Revised shall govern the deliberations of the Division wherever they are applicable and are not inconsistent with these By-Laws.

The UNA Southern New York State Division has a unique placement in the New York
Metropolitan Area. The Division and its Chapters are within easy reach of the United Nations, as well as several UN System headquarters including UNICEF, UNIFEM, UN Development Program, UN Population Fund and UN Fund for International Partnerships. We benefit from access to the programs of the United Nations, and enjoy good friendships with ambassadors and staff members of the 192 member states of the UN who live in our communities.
The Division comprises all chapters, contact groups, and members-at-large in the five boroughs of New York City and in the counties of Columbia, Dutchess, Greene, Nassau, Orange, Putnam, Rockland, Suffolk, Sullivan, Ulster and Westchester. In Summer 2007 YPIC - the Young Professionals for International Cooperation, became part of the Division, bringing many members, programs and enthusiasm to the Division's work.
